RAUE LLP has advised Schoeller Industries LLP on the sale of Schoeller Cap Systems GmbH to PROCAP group (PROCAP). Schoeller Cap Systems is a medium sized company based in Schwerin specializing in the manufacture of closures for the beverage industry. PROCAP is one of the leading European companies for the production of plastic caps and closures now gaining its first production facility in Germany through its acquisition of Schoeller Cap Systems. The purchase price was not disclosed.

Am 20. April spricht Prof. Dr. Wolfgang Kuhla im Rahmen des Zweiten K+D (Kosmas und Damian GmbH) Kongresses in Essen. Prof. Kuhla hält ein Impulsreferat zum Thema „Krankenhausplanung in NRW mit Auswirkungen auf das Ruhrbistum“. Weiterhin stellt Lucas Kemper (Prognos AG) die Studie „Krankenhauslandschaft 2020 – im Verbund stärken“ vor. Nach Workshops am Nachmittag endet der Kongress mit einem Gottesdienst und einer Ansprache von Bischof Dr. Overbeck.

RAUE LLP advises the Berlin gas supplier GASAG Berliner Gaswerke AG in its search for a strategic partner for its subsidiary BEGA.tec. GASAG GmbH is the largest municipal gas supplier in Western Europe. BEGA.tec specializes in the technical operation, management and optimization of equipment and instrumentation of gas net and gas plant operators. GASAG intends to sell a stake in BEGA.tec as well as continue to hold shares in BEGA.tec.
RAUE advises GASAG on all aspects of this project, both in the preparation and execution of the transaction, as well as in the design of the future partnership.

Landmark for RAUE LLP: Bundesrat confirms Ancillary Copyright Law for Press Publishers on the Internet |

The ancillary copyright law for press publishers has passed the Bundesrat, Germany’s Federal Assembly, and comes into force. After the Bundestag by a majority of the CDU, CSU and FDP parties had decided to incorporate an ancillary right for press publishers into the copyright law on 1 March 2012, this law was confirmed by the Bundesrat today. The proposal to transfer the proposed legislation in the Conciliation Committee ("Vermittlungsausschuss") was not followed by the majority of the Bundesrat. With this decision, a significant advance to strengthen the rights of press publishers on the Internet, accompanied by RAUE partners Prof. Jan Hegemann and Dr. Robert Heine, turns into law.
Publishers are now granted a reservation for authorization for the commercial use of their press articles through internet services such as search engines and news aggregators. So far, press publishers had no way of preventing the spread of their intellectual property on the Internet, causing significant losses in revenue otherwise reached through advertisements in print media.
The coalition agreement of 2009 had already approved an ancillary copyright law for press publishers which was confirmed on 4 March 2012 by the coalition committee and has now been implemented by legislature.

RAUE LLP advised the science publisher Walter de Gruyter GmbH (Berlin) on the acquisition of Oldenbourg WissenschaftsVerlag GmbH (Munich) and Akademie Verlag GmbH (Berlin) by Franz Cornelsen Bildungsgruppe. The transaction took place in the form of a share deal in an international bidding process. The Share Purchase Agreement was notarized on 25 February and completed on 1 March 2013 coming into effect on 1 January 2013.
